Pauline Vos

I am a partner in Bird & Bird's Corporate Group and head of our corporate team in the Netherlands.

I specialise in mergers and acquisitions, often acting for technology companies looking to expand their business internationally.

My key practice areas are cross-border M&A and private equity transactions, and I regularly assist Dutch and international companies on a wide range of corporate transactions in my primary practice areas, with a particular focus on cross border M&A transactions in the tech & communications, life sciences and media sectors.

My experience includes advising domestic and foreign companies on mergers and acquisitions, structured as share or asset deals, joint venture, venture capital and private equity transactions, spinoffs and minority investments.

As many of the transactions we assist on involve multiple jurisdictions, my team collaborates on a daily basis with the lawyers in our other offices around the world. As one of the world's leading global technology law firms with a deep knowledge of rapidly changing industries, we can offer our clients seamless cross-jurisdictional advice and a one-stop-shop approach covering all legal aspects of complex cross-border transactions. Our transactions team plays a key role in tech M&A deals by bringing a deep understanding of the underlying technology and IP that is being acquired, providing expertise in due diligence and risk assessment exercises, as well as experience in transitional services agreements and technology separation arrangements in support of the implementation of corporate deals.

Before joining Bird & Bird in 2001 I worked for a large Netherlands-based law firm. I became a partner in 2003.

• Assisting a US tech company - based in California and active in the field of developing a cloud marketing platform analysing big data - on the acquisition of a business active in the same field in the Netherlands, the UK, Germany, Canada and the US.
• Assisting a main independent infrastructure operator for wireless telecommunication in Europe, headquartered in Spain, on the acquisition of a large number of telephony sites in the Netherlands.
• Assisting a leading IoT security company listed on Nasdaq in connection with the acquisition of a global leader based in the Netherlands in operational technology (OT) and industrial control systems (ICS) network assessment and protection.
• Assisting a UK-based leading technology provider of communication services, listed on the LSE, on the acquisition of a Dutch telecoms group focused on offering cloud PBX solutions, SIP trunks, data products and mobile services.
• Assisting Belgium's leading telecommunications and ICT company on the acquisition of a managed service provider based in the Netherlands, and of a business active in the field of machine data analysis and IT service management processes.
