About Me

I am a corporate lawyer with extensive experience in local and cross-border mergers and acquisitions, joint ventures and collaborations, and other general corporate matters. I am the joint managing partner of our Singapore office.

Today, I provide advice to corporations, government agencies, regulators and international organisations.

I head the firm's corporate secretarial practice and I am the company secretary to around 200 private limited companies in Singapore. I routinely advise on a full range of corporate matters, including corporate governance, corporate restructures and transactions, cross border M&A, joint ventures, corporate finance, alliance and other general corporate matters.

Due to my extensive experiences in corporate matters, I am regularly invited to lecture or present on professional events and professional courses covering corporate governance, competition law and corporate sustainability.

I also work on commercial transactions involving competition law, public procurement, digitalisation, infrastructure and regulatory advice.

I currently act as the legal adviser to a number of local regulators and have maintained good relationship with the local regulators.
Experience
  • Singapore counsel to TriMas Corporation in the sale of its Lamons division in Singapore, as part of a global divestment to an investment fund sponsored by First Reserve for US$135 million.
  • Advised Toronto listed Poet Technologies, designer, developer and manufacturer of optoelectronic devices, on its US$28 million divestment of its Denselight business to a China-based strategic buyer.
  • Advised Sealed Air Corporation in its acquisition of Fagerdala Singapore, a fabricator of polyethylene foam with 14 manufacturing facilities in China, Thailand, Singapore, Malaysia, Mexico and the United States for around US$100 million.
  • Counsel to OCAP Management in the due diligence of the target. SGX Catalist-listed CPH Group entered into a sale and purchase agreement with Delphinium Capital for the proposed acquisition of its wholly-owned subsidiary, OCAP Management for a purchase consideration of S$61.8 million.
  • Advised Barghest Building Performance (BBP), a Singapore provider of energy saving solutions, in its latest investment round where BBP successfully secured a S$45 million financing from KKR & Co, in KKR's first impact investment globally.
  • Advising multinationals such as ABB, Canon, Jungheinrich, Roche, PCCW and ST Engineering on corporate and commercial matters as well as ancillary governance, competition and regulatory issues.
Cases
  • Policy papers and draft regulatory documents for Singapore regulatory authority on provisions of the Electricity Act and related Codes of Practice such as Retailer Code, Market Support Services Code and Regulated Supply Services Code, including advice on the drafting and implementation of contestability thresholds and vesting regime.
  • Involved in first–ever appeal relating to finding of anti-competitive provisions in the Gas Act, which included issues of anti-competitive agreements and abuse of dominant position as well as the procedure for enforcement by the regulator.
  • Advisor to National Arts Council on the strategic partnership and operational contracts for Victoria Theatre and Victoria Concert hall, national monuments and heritage buildings which are icons of the Singapore arts scene.
  • Acted for ExtraSpace, a US provider of self-storage units, with over 1,370 facilities across 37 states plus Washington, D.C in the acquisition of self-storage operations from a local self-storage operator Store4You.
