Bird & Bird ATMD advises Sealed Air Corporation on acquisition of Fagerdala Singapore

Bird & Bird ATMD advised NYSE-listed conglomerate Sealed Air Corporation ("Sealed Air") in its acquisition of Fagerdala Singapore Pte Ltd ("Fagerdala"), a manufacturer and fabricator of polyethylene foam, for approximately US$100 million.

Fagerdala, established in 1983 with headquarters in Singapore, has 14 manufacturing facilities and employs more than 1,300 people in China, Thailand, Singapore, Malaysia, Mexico and the United States. Through the acquisition, Sealed Air plans to leverage Fagerdala’s manufacturing footprint in Asia, expertise in foam manufacturing and fabrication, and commercial organisation to grow sales in the consumer electronics, medical equipment and devices, automotive, temperature assurance and e-commerce fulfilment sectors.

The deal involved seamless collaboration with Bird & Bird's offices in Asia-Pacific and its international network on the multi-jurisdictional legal issues that arose during the acquisition process.

Partner Sandra Seah led the transaction on the Singapore law aspects, assisted by Associate Eef Gerard Van Emmerik. Bird & Bird Shanghai Partners Sven-Michael Werner and Christine Yiu, assisted by Associates Serena Du and Sarah Wang, advised on Chinese law issues. Partner Kathryn Edghill of Bird & Bird Sydney supported on competition issues along with Senior Associate Jonathan Kao of Bird & Bird ATMD.
