I am a senior associate in our Corporate practice in London acting for a wide range of clients on all manner of corporate transactions, including public and private M&A, capital markets issues and general corporate governance issue.

I have a particular interest in equity capital markets and public M&A work across a variety of sectors.

With an increasing global focus on FinTech and digital M&A, my work focuses beyond straightforward consolidation or bolt-on acquisitions. As traditional industries are opened up by digital disruption, there has been an increase in the blurring of industry boundaries and we are at the heart of this exciting growing opportunity for businesses. I recently advised Earthport plc, a UK-based FinTech company, as the target of a competing public takeover bid. This transaction was particularly notable due to the competing element and the possibility of a rare code auction.

In 2018 I was seconded to the investment banking arm of Liberum Capital, giving me the opportunity to really understand what additional value external lawyers can provide on a transaction. This experience was significantly different from my experience at a FTSE100 retailer where I qualified. However, in both instances, it is clear that business expect lawyers to provide more than just legal advice. Lawyers are increasingly asked to provide, not only commercially sound advice, but strategic input.

Since joining Bird & Bird, I visit Tokyo regularly with the firm's Japan Working Group to present on topics ranging from digital M&A to Brexit to help our Japanese clients better understand the UK market and key movements that they should be aware of (eg the impact of Brexit on corporate transactions in the UK).

  • Advised AIM listed client, The Stanley Gibbons Group plc, on an equity subscription by private equity investor, Phoenix UK Fund and related debt restructuring.
  • Advised HRC World plc, a franchise holder with the rights to develop and operate Hard Rock Cafés in China, on its successful listing on the Nasdaq First North.
  • Acted as the secretary to The Takeover Appeal Board in relation to an appeal by various parties against rulings by the Panel's executive in the competitive offers for Sky.
  • Advised Tekcapital plc, the UK intellectual property investment group focused on creating marketplace value from university technology, with its fundraising of approximately $1.15m.
  • Advised Alpha FX Group plc, a UK-based foreign exchange service provider working for corporates and institutions, with its fundraising of approximately £20m through the placing by way of an accelerated bookbuild of new ordinary shares in the capital of the company.
  • In 2018, I was seconded to Liberum Capital to work with their investment banking team. Notable transactions during my secondment include: raising £15m through the placing of 3.7m shares in Gresham House plc with new and existing institutional investors; and successfully raising £185m in connection with the IPO of Codemasters, a video game developer and publisher, specialising in high quality racing games.
  • Advised Earthport plc, a UK-based FinTech company, as the target of a competing takeover bid by way of a takeover offer for £233 million.
