Vivek Kailas

I am a Counsel in our international Corporate group in Denmark, where I primarily advise on transactions.

I am specialised within M&A, company law, and corporate finance.

My primary focus is M&A, and I have extensive experience negotiating and advising both Danish and international clients on business transfers. I have more than 10 years practical experience as a lawyer and I have done numerous M&A deals. The last three years I have done M&A deals with a combined total deal value of more than EUR 4.5 billion in total Enterprise Value. I have extensive experience within transaction related company law, mergers, demergers, shareholder agreements, and joint ventures. I also have extensive experience within corporate finance.

My advice and assistance include structuring transactions, strategic considerations, project management and drafting and negotiating transaction documents.

In addition to my law background, I have an MBA and a HD(F) (equivalent to a B.Sc. in Finance).

Before joining our firm, I worked for several years in-house at one of the largest tech/telco companies in Denmark and therefore my advisory services are not only based on legal proficiency but also on a practical commercial business understanding.

• Have done M&A deals last three years of more than EUR 4.5 billion in Enterprise Value, including following publicly disclosed deals:
• Mastercard's EUR 2.85 billion purchase of Nets Group's account-to-account division, (co-lead on Danish M&A part)
• Kitron's EUR 100 million purchase of Danish EMS company BB Electronics, including international subsidiaries, (co-lead on Danish M&A part)
• Infosys' EUR 110 million acquisition of Life Sciences Consulting and Technology Leader, BASE life science in Denmark, including 9 international subsidiaries, (co-lead on Danish M&A part)
• AddLife's EUR multi-million acquisition of Fischer Medical, (lead on Danish M&A part)
