As Counsel and a co-head of our Corporate/M&A Group based in Prague, I'm a leading expert in M&A, commercial, general corporate and EU law advising clients from a range of industries.

Additionally, I've extensive experience in arbitration and insolvency proceedings and complex intra-group corporate restructurings. As a transactional lawyer with over 14 years' experience in international law firms, I advise clients in a wide range of sectors, including automotive, energy, construction, real estate and food processing.

Since joining Bird & Bird in 2013, I've been involved in all the major Czech M&A projects. I advise large numbers of Czech and international clients and help them to address and structure M&A transactions and support them on commercial and general corporate law, corporate restructuring issues and competition law.

Project management is crucial to our client service and over the years I have been involved in, and co-ordinated, a number of multi-jurisdictional and complex M&A transactions. Drawing on that experience, I have been closely involved in the implementation of a number of project management tools with a particular focus on their use in M&A projects.

In my role as co-head of the Corporate Group in Prague, I manage the team structure so we can ensure we have the right lawyers in place for our clients' needs. We provide regular training and skills development to ensure our lawyers achieve the best professional standards required to meet those needs. Communication is key within our large team to ensure seamless collaboration across our case work.

Our business development team works closely with our lawyers to offer our clients timely seminars, events and materials to help you keep up to speed on relevant issues affecting your business. We offer our clients a range of tech-based tools and have worked closely with various clients to develop innovative ways to meet the challenges faced in a rapidly changing legal market-place.

  • Assisting the US based client, Hastings Manufacturing Company, on an acquisition of a Czech piston rings manufacturer for the OEM and Aftermarket channel. Legal advice included due diligence process, negotiation of transaction documentation and management of the entire transaction, including legal support in the areas of M&A, employment, real estate and environmental law.
  • Advising the UK based client, Secret Escapes, on the acquisition of 100% shares in Slevomat Group, Central and Eastern Europe's leading travel deals and experiences company - two Czech and one Slovak portals (slevomat.cz, skrz.cz and Zlavomat.sk) their largest acquisition to date. When combined with Secret Escapes' Travelist business in Poland and its young and fast-growing Travelist sites in the Czech Republic, Slovakia and Hungary, this acquisition made Central and Eastern Europe one of Secret Escapes' largest business areas, behind Germany and the UK.
  • Advising VRgineers, Czech based tech company, on establishment of branch and US entity and transfer of enterprise including advisory on IP rights. I assisted the client with drafting of all relevant contractual documents and performed a pre-investment legal due diligence of the acquired part of business.
  • Providing the client with complex legal due diligence of Czech and Slovak branch of the target, leading Slovenian white goods manufacturer, Gorenje group, as part of a potential global acquisition. The pan-European project concerning more than 10 European countries was coordinated from the Czech Republic.
  • Advising the client on Czech legal issues relating to the global merger with a global pharmaceutical company, including corporate restructuring and employment issues.
