Colin heads the Employee Incentives and Benefits group and is based in London.
Acting for a wide range of international and domestic companies, Colin advises on employee share plans and tax issues for employee and director shareholders. Areas Colin deals with include advice in relation to plan design, performance targets, corporate governance, remuneration committee support, corporate law and regulatory issues; incentives aspects of acquisitions, disposals, IPOs, re structuring and fund-raisings; tax-efficient structuring of share based incentives, PAYE/social security issues, corporate tax, HMRC negotiations and employee share ownership plan trusts; and carried interest arrangements for management of venture capital funds.
Colin is a member of the share schemes committee of the Quoted Company Alliance. He is also a member of the Global Equity Organisation and of the Share Plan Lawyers Group.
He has specialised in employee incentives for over 22 years since qualifying as a solicitor in January 1990. Colin joined us in January 2006 having practiced at Clifford Chance and prior to that at KPMG.
Colin is a regular conference speaker and author on employee incentives issues. Colin contributed a substantial section on share based employee incentives in the second edition of "Internet Business Commerce and Tax" published by Jordan on 17 March 2012. A prominent section of the book covers the provision of share based incentives for employees and directors of private companies in the e-commerce and technology sectors. It includes, amongst other things, growth shares, nil paid shares, JSOPs, EMI, tax-efficient exits, disguised remuneration and the mechanics of imposing vesting and forfeiture.
