I'm a partner in Bird & Bird's Corporate Practice based in London where I advise on transactions on the equity capital markets as well as public and private M&A.

My main sector focus is on energy & utilities and telecoms, media and technology (TMT).

Clients I act for include investment banks and listed and private companies, from substantial listed groups to entrepreneurial start-ups. The deals I get involved in usually have an international element. As well as the core areas of financings and IPOs, I have specialist experience in City Code M&A and shareholder activism.

I have advised on a number of UK takeovers including offers, schemes of arrangement and mandatory bids. I also advise sports clients on takeovers, including on the application of the Code to former listed or publicly traded companies. I often give advice to listed companies on the contents of controlling shareholder agreements and on their response to shareholder activists.

As well as being a regular speaker on corporate finance, you'll find me ranked as a leading individual for capital markets in Chambers & Partners and for capital markets and M&A in the Legal 500.

  • Joh.Berenberg, Gossler & Co: advising the London branch, as sole bookrunner to XLMedia PLC, on a secondary placing. The placing was carried out as an accelerated bookbuild in the UK and raised £31.7million (before expenses). XLMedia is a 'digital performance marketing company' which owns its own websites and provides services to others with an online presence.
  • LKAB Minerals: advising the international industrial minerals group on its acquisition of the business of Francis Flower, comprising two companies Francis Flower (Northern) Ltd and Gurney Slade Lime & Stone Ltd. Included in the purchase is the substantial Ground Granulated Blast furnace Slag plant operated by Francis Flower on the British Steel site in Scunthorpe. The business employs 130 people across four sites in the UK.
  • Bond Capital Partners: advising the London-based independent investor and adviser to small and medium-sized businesses in connection with its equity investment in Mark'ennovy Personalized Care, a European-based provider of precision contact lenses.
  • Regius Resources: advising Regius on various corporate matters including the acquisition by Fura Gems Inc. of nine ruby assets in Mozambique from ASX-listed Mustang Resources and Regius, payable in cash and shares.
