Bird & Bird has advised Marmite S.a.r.l. in relation to the sale of Marmite International and Muscle Machine to Innova Capital.
Marmite International and Muscle Machine are Europe’s leading manufacturer of engineered stone sanitary products, supplying international producers of bathroom furniture. In 2009, the company had an annual production capacity of over 600,000 washbasin units and over 250,000 shower trays. The addition of a new high-volume washbasin line in 2010 has increased the capacity significantly and the company is now ready for additional growth. The vast majority of the company’s products are sold in Western Europe.
Innova Capital is one of Central Europe's leading private equity firms with approximately EUR 900 million under management in five different funds.
The deal has included the sale, restructuring and refinancing of the Marmite group, as well as the sellers’ reinvestment in the new structure. The transaction was completed during the summer.
Bird & Bird’s team was headed from the Stockholm office by corporate partner Hans Svensson. The team also included Caroline Carlshamre and Jacob Blidberg (Stockholm), and Zdzislaw Wieckowski and Grzegorz Dembowski (Warsaw). Deloitte acted as financial advisor to Marmite and Muscle Machine. Innova was represented by Allen & Overy.
