International law firm Bird & Bird has been advising long standing client, Espresso Group, the leading digital curriculum service provider in the UK, on its acquisition of Channel 4 Learning, an award-winning education rights exploitation business.
The deal will further enhance Espresso’s position in the UK education sector where it already has nearly 50% market penetration in English primary schools. Channel 4 will retain a minority stake in the combined business.
Commenting on the acquisition, Richard McGrath, Managing Director of Espresso Group said:
“The coming together of these two organisations will create a unique force in the UK education market; as the role of information communications technology in schools continues to increase, Espresso will be able to provide customers with an amazing range of the best educational video content backed up by first class customer support”.
Lead Partner, Neil Blundell commented:
“We are very pleased to continue to advise Espresso. This is exactly the type of work we like to do given our involvement in the IT and Media sectors. 4 Learning is a business unit of Channel 4 and the transaction was legally complex because all relevant assets had to be separately identified and transferred. Channel 4 also has ongoing requirements under its public service remit to broadcast educational programmes and the deal terms had to allow for this”.
Partner Neil Blundell led the team and was assisted by associate, Carolyn Burbridge.
