Cross-border team helps EADS acquire Nokia’s PMR business
A cross-border team of corporate lawyers at international law firm Bird & Bird has been advising the telecommunications division of the European Aeronautic Defence and Space Company (EADS) on their acquisition of Nokia’s Professional Mobile Radio (PMR) business. Involving a team of nearly 30 Bird & Bird lawyers from all the firm’s 13 European and Asian offices, the acquisition has valued EADS several million euros.
Creating a new line of business called EADS Secure Networks, the acquisition will enable EADS to become a world leader in secure telecommunications offering the armed forces and defence community at large the highest level of security systems. The launch of EADS Secure Networks is regarded as a new era in the European PMR industry.
The acquisition itself was structured as an asset deal. With assets located across Europe and Asia, the deal required 29 lawyers across all of Bird & Bird’s jurisdictions to complete the work. Paris based partner, Marc Baffreau led the global Bird & Bird team involving lawyers from the firm’s offices in Belgium, China, France, Germany, Hong Kong, Italy, The Netherlands, Spain, Sweden and the UK. Activity in Finland, Bulgaria, Poland and Hungary also required co-ordination. As well as completing all the corporate aspects of the deal, teams of Bird & Bird employment lawyers as well as IT and IP lawyers were also involved, providing EADS with a full level of service.
Commenting, Marc Baffreau said:
“This was a major project which has taken the best part of this past year to bring to fruition. It is an important demonstration of how Bird & Bird functions as a cross-border international law firm bringing our sector knowledge to large deals of this nature”.
