Bird & Bird advises CRA International (UK) Ltd on UK acquisition


International law firm Bird & Bird has been advising new client, CRA International (UK) Ltd, on their acquisition of Economics of Competition & Litigation Ltd (formerly known as Lexecon Ltd). The deal itself involved highly complex legal and commercial issues.

With 23 offices across 4 continents, CRA International is an economics, finance and business consulting firm that works with businesses, law firms, accounting firms and governments in providing a wide range of services. Founded in 1965, CRA International combines economic and financial analysis with expertise in litigation and regulatory support, business strategy and planning, market and demand forecasting, policy analysis, engineering and technology management.

Bird & Bird partner Mark Pinder, who introduced Boston based CRA International to the firm, led the team with assistance from corporate associate, Helen Down, and others. As well as involving particularly complex earn-out provisions and the issue of three types of loan notes, the deal also required considerable tax and employment advice. As part of the transaction, approximately 30 former Lexecon Ltd consultants and academic experts have joined CRA International, requiring Bird & Bird employment partner Ian Hunter and his team to negotiate relevant contracts.
