English contract law is developing with significant impact on businesses with a franchise, licence, distribution or multi-channel network.
Franchising, Licensing and Distribution arrangements are built on relationships. Such relationships depend upon contracts. Not just signing them, but implementing them and maximising the value to be derived from them. Contract law in this area of 'relational agreements' is changing. It is ever more important for contracting parties in franchising, distribution and other multi-channel environments to understand those changes.
This second of two in-depth contract seminars will look at the following legal developments:
- Good faith cooperation clauses
- 'Implied' good faith in how a contract is performed
- Good faith in how decisions are taken under contracts
- The effects of 'agreements to agree' under signed agreements
- Good faith after contract termination
