Effective Integration of Chinese Overseas Subsidiaries

With the increasing number of Chinese companies engaging in outward investment, particularly in Germany, a crucial issue must be addressed: how to effectively and legally integrate the overseas (e.g. German) subsidiaries with their Chinese parent companies on a daily business basis?

In the day-to-day business, the Chinese headquarter may request their German subsidiary to take certain actions: e.g. sign contracts, order products, increase or decrease the product price, hire or dismiss an employee, manage cash-flow. However, there are certain risks associated with such direct requests from the Chinese HQ, namely that it may violate German law, with which the German subsidiary and its personnel must comply.

This China Hour focuses on practical legal solutions in this situation to help the German subsidiary and its personnel. Alfred Herda, partner at Bird & Bird, has over 20 years of experience in German corporate law and will share his views on the timely awareness of the risks involved and the safe ways to avoid or mitigate the risks.
