Richard is a partner in the Corporate Group and is based in the London office. He joined Bird & Bird in May 2010.
Richard's practice focuses on mergers and acquisitions, securities law, including public and private securities offerings, as well as a range of international matters, including public and private placements for UK issuers and inward and outward-bound acquisition transactions. Richard's clients include companies engaged in a wide range of technology sectors such as semiconductor design, alternative energy and cleantech, software and security products.
Richard's experience includes representation of both UK and foreign companies in the acquisition of both public and private companies. His experience also includes representation of both UK and foreign issuers and underwriters on IPOs and follow-on offerings. Richard has also been recognised as a Top Ranked Lawyer in Venture Capital, Legal 500 UK in every edition of the directory since 2006.
Some examples of Richard’s recent work include acting for MessageLabs on its disposal of its ISP business, Star Technologies Limited, and its subsequent US$700m sale to Symantec Inc. Richard also advised Atlantic Bridge Ventures on its £265m acquisition of the telecoms products division of LogicaCMG, Smallworldwide on its $212m acquisition by GE and flutter.com on its merger with Betfair.
Richard has also advised Wolfson Microelectronics, nCiper, Eyretel, Arc and Optos on their respective listings on the Main Market of the London Stock Exchange. Richard also represented Autonomy Corporation on its IPO on the Main Market of the London Stock Exchange and on subsequent debt and equity raisings and acquisitions, including the US$375m acquisition of Zantaz Inc and the US$500m acquisition of Verity Inc. Richard acted for SPI Lasers plc, GTE plc, Gatekeeper Systems Inc, Ocean Power Technologies and ReGen Therapeutics plc on their respective listings on the AIM market of the London Stock Exchange.
