Bird & Bird assists Ballarini on its acquisition by Zwilling

Our Bird & Bird Italian corporate team has recently advised family-owned business Ballarini Paolo & Figli S.p.A. on its acquisition by ZWILLING J.A. Henckels AG, part of the German Group Wilh. Werhahn.

Ballarini Paolo & Figli S.p.A. was founded in 1889 in Rivarolo Mantovano, and is a leading European manufacturer of cookware products. Wilh. Werhahn KG is a group with a broad range of activities both in Germany and abroad. Zwilling, in particular, manufactures and distributes several kitchenware lines such as knives, cutlery, cookware, scissors and kitchen utensils, sold under the brands ZWILLING, STAUB, Demeyers and Miyabi.

Corporate Partner Stefano Silvestri coordinated the Italian Team consisting of Linda Pietrostefani and Carlotta Tedeschi (Corporate senior associate and associate), Eleonora Briolini and Pietro Gracis (Tax partner and senior associate), Simone Cadeddu and Alfredo Cincotti (Regulatory & Administrative partner and senior associate), Riccardo Corbani (Employment senior associate). Assistance was also given by Marianne Nawroth (Corporate associate in Frankfurt) on the German law aspects of the matter.

The transaction received significant coverage in the Italian and German press and reflects the strategic importance of this deal for the buyer, which has further strengthened its product offering with the premium Italian brand.

Prior to this important transaction, our Italian team had been advising the target company for several years on corporate, intellectual property and commercial matters including the acquisition of the worldwide licensing rights for cookware products of the iconic "MasterChef: the TV Series" brand.
