Bird & Bird advises Dolby Laboratories Inc. in the acquisition of Doremi Labs

Bird & Bird's teams advised the US listed company Dolby Laboratories Inc. (NYSE : DLB) in the acquisition of Doremi Labs, the leading provider of digital cinema video playback solutions and the distributor Highlands Technologies SAS.

The transaction has been successfully completed on October 31st, 2014 and will enable Dolby to improve its cinema experience, develop new forms of storytelling, and accelerate the deployment of innovative solutions. This acquisition establishes Dolby as a leader in audio and video playback solutions with a comprehensive product portfolio for the cinema industry.

David Malcoiffe, (corporate partner), in charge of the transaction was assisted by Lionel Berthelet and Marine Besson (associates). Also involved, on tax matters, Laurence Clot (partner) and Coralie Dedieu (associate), on intellectual property right issues Yves Bizollon (partner) Laurent Labatte (European Patent Attorney) and Jean-Baptiste Thiénot (associate) and on employment law aspects, Benjamine Fiedler, (partner) and Christopher Ivey (associate).

Dolby Laboratories was also advised by the law firms Wilson Sonsini Goodrich & Rosati, P.C. (in respect of the US aspects of the transaction) and Ernst & Young for tax aspects (Philippe Paul-Boncour, French partner and Jean-Laurent Bargiarelli, associate, tax).

Doremi Labs was advised by Gibson, Dunn & Crutcher: Jennifer Bellah Maguire and Patrick Ledoux (corporate partners), Clarisse Bouchetemblé (associate) and Jérôme Delaurière (tax partner) intervened on the French aspects of the transaction.
