Bird & Bird has advised Finnish client Keele Group / St1 on its acquisition of Royal Dutch Shell’s Finnish and Swedish operations, which includes a refinery in Gothenburg, Sweden, with production capacity of 87,000 barrels of crude oil per day, 565 gas stations and Shell's bulk fuel business in the two countries, and marine business in Sweden.

Headquartered in Helsinki, St1 is a Finnish energy company whose services and products cover everything from wind power to high-concentration ethanol produced from biowaste. The company has approximately 640 gas stations in Finland, Sweden, Norway and Poland.

Bird & Bird’s substantial cross-border team was led by Finnish Corporate partner Jori Taipale together with Corporate partners Anders Nilsson (Stockholm) and Mark Pinder (London), who were greatly assisted by lawyers from the firm’s offices in Helsinki, Stockholm, London, Brussels and Warsaw, covering e.g. corporate, competition, employment, commercial and real estate.

Kim Wiio, CEO of St1, said: "For us Bird & Bird with offices in both Helsinki and Stockholm was a natural choice for this transaction. During the process Bird & Bird has demonstrated its strength as a truly international firm by delivering to us excellent legal support for all aspects of the deal in a seamless way, not just in Finland, Sweden and the UK but also in various other jurisdictions.”

Bird & Bird partner, Jori Taipale, comments: "This was a truly demanding deal, with tight deadlines, requiring a cross-border team from across Europe with a good understanding of this sector.  It was great to have everyone pull together to achieve a successful result for St1."
